Associate – Corporate & financing

Oliver advises on a broad range of complex corporate transactions including cross-border and domestic mergers and acquisitions, equity capital raising (notably university spin-outs and venture capital transactions), corporate restructurings and reorganisations, and general corporate law advice.

He focuses in particular on transactions in the TMT and life sciences sectors but works with clients operating in a variety of sectors.

Oliver has experience across a range of sectors such as media, technology, life sciences, and healthcare. Some of his highlights include:

  • Advising a Parkinson’s and Dementia digital platform on its spin out and subsequent extension financing round.
  • Advising a private equity fund on its acquisition of a leading independent provider of mental healthcare and adult social care in the UK, the subsequent £1bn refinancing of that provider (including a related reorganisation) and the carve out of the specialist education & childcare division from that provider.
  • Advising a leading UK altnet broadband provider on various acquisitions and corporate reorganisations.
  • Advising individual shareholders on their disposal of an international live broadcast and event curation media group to a US group listed on the NYSE.
  • Advising a global company headquartered in Belgium (which is a leading player in steel wire transformation and coating technologies, as well as innovating in new mobility, low-carbon construction, and green energy) on its acquisition of a majority stake in a Scottish company offering mooring technology solutions, systems design and testing capabilities for the global offshore energy markets.
  • Advising a self-funded medical research charity on its role in the formation of a new Medical Research Council (MRC) spin-out company that aims to reprogramme microbes to enable new materials to be produced – such as drugs and biodegradable plastics.
  • Advising a Japanese headquartered AI drug discovery company on its financing rounds and reorganisations.

Prior to joining Bristows, Oliver trained at a leading international law firm and qualified into its private equity department in 2018.

Since joining Bristows, Oliver has also provided general corporate advice to clients regarding shareholder and governance matters and has advised charities on governance and other corporate law matters.
