Senior Associate – Commercial & IP transactions

Louisa specialises in complex life transactions involving the development, licensing, exploitation and transfer of intellectual property rights, particularly patents and know-how. She works for a wide range of clients, including pharmaceutical and biotech companies, universities, charities, investors, start-up companies and spin-outs.

She is experienced in drafting, negotiating and advising on a wide range of commercial arrangements, including research and development collaborations, industry/academia partnerships, patent and know-how licences and options, university spin-out arrangements and research services agreements.

Many of the transactions on which Louisa advises involve cutting edge technologies in the life sciences industry, including cell and gene therapies (on which she has authored a number of articles) and AI.

Louisa also advises on a variety of general commercial matters, including drafting and negotiating agreements for the supply of goods and services as well as manufacturing, distribution, consultancy and other commercial agreements.

Some of Louisa’s work highlights include:

  • Acting for a global biopharmaceutical company on an AI-powered disease target discovery collaboration and licence agreement with a UK biotech.
  • Acting for a multinational pharmaceutical and biotechnology company on an IP licence and option agreement with a large biotech company relating to monoclonal antibodies for the treatment of cancer.
  • Advising a leading life sciences investor on two spin-outs from well-known academic institutions, including the foundational IP licences and associated research collaborations.
  • Acting for the commercialisation arm of one of the UK’s leading universities on a range of spin-out licences relating to a wide range of technologies including cell and gene therapies.

While at Bristows, Louisa has spent time seconded to pharmaceutical clients, working closely with their in-house legal and commercial teams. This has given her valuable experience of the pressures faced by in-house legal teams and allowed her to tailor her approach closely to the needs of her clients.
